13、dress of the Company is P.O.Box 309,Ugland House,Grand Cayman,KY1-1104,Cayman Islands.The principal place of business of the Company is located at Unit 508B,5/F,New East Ocean Centre,9 Science Museum Road,Tsim Sha Tsui,Kowloon,Hong Kong.During the year,the Company and its subsidiaries(collectively r
14、eferred to as the“Group”)was principally engaged in the provision of cleaning and related services,the provision of waste treatment service and the provision of advertising media service.The consolidated financial statements are presented in Hong Kong dollars(“HK$”)and all values are rounded to the
15、nearest thousand(“HK$000”),unless otherwise stated.2.APPLICATION OF NEW AND AMENDMENTS TO HKFRS ACCOUNTING STANDARDSApplication of amendments to HKFRS Accounting StandardsIn the current year,the Group has applied,for its first time,the following amendments to HKFRS Accounting Standards,issued by the

18、-current Liabilities with Covenants(the“2022 Amendments”)The 2020 Amendments clarify the requirements for classifying liabilities as current or non-current,including what is meant by a right to defer settlement and that a right to defer must exist at the end of the reporting period.Classification of
19、 a liability is unaffected by the likelihood that the entity will exercise its right to defer settlement.The amendments also clarify that a liability can be settled in its own equity instruments,and that only if a conversion option in a convertible liability is itself accounted for as an equity inst
20、rument would the terms of a liability not impact its classification.The 2022 Amendments further clarify that,among covenants of a liability arising from a loan arrangement,only those with which an entity must comply on or before the reporting date affect the classification of that liability as curre
21、nt or non-current.Additional disclosures are required for non-current liabilities that are subject to the entity complying with future covenants within 12 months after the reporting period.The amendments had no material impact on the consolidated financial statements of the Group.6 Impacts on applic
22、ation of Amendments to HKFRS 16 Lease Liability in a Sale and LeasebackThe Group has applied the amendments for the first time in the current year.The amendments add subsequent measurement requirements for sale and leaseback transactions that satisfy the requirements of HKFRS 15 Revenue from Contrac
23、ts with Customers to be accounted for as a sale.The amendments require a seller-lessee to determine“lease payments”or“revised lease payments”such that the seller-lessee would not recognise a gain or loss that relates to the right of use retained by the seller-lessee.The amendments also clarify that
24、applying the requirements does not prevent the seller-lessee from recognising in profit or loss any gain or loss relating to subsequent partial or full termination of a lease.According to the transitional provisions,the Group has applied the new accounting policy retrospectively to the sale and leas
25、eback transactions entered into by the Group as the seller-lessee after the initial application of HKFRS 16.The application of the amendments has no material impact on the Groups financial position and performance.Impacts on application of Amendments to HKAS 7 and HKFRS 7 Supplier Finance Arrangemen
26、tsThe Group has applied the amendments for the first time in the current year.The amendments add a disclosure objective to HKAS 7 Statement of Cash Flows stating that an entity is required to disclose information about its supplier finance arrangements that enables users of financial statements to a
27、ssess the effects of those arrangements on the entitys liabilities and cash flows.In addition,HKFRS 7 Financial Instruments:Disclosures was amended to add supplier finance arrangements as an example within the requirements to disclose information about an entitys exposure to concentration of liquidi
28、ty risk.In accordance with the transition provision,the entity is not required to disclose comparative information for any reporting periods presented before the beginning of the annual reporting period in the first year of application as well as the information required by HKAS 7.44(b)(ii)and(b)(ii
29、i)above as at the beginning of the annual reporting period in which the entity first applies those amendments.The application of the amendments in the current year had no material impact on the consolidated financial statements.3.BASIS OF PREPARATIONThe financial information set out in this announce
30、ment does not constitute the Groups annual consolidated financial statements for the year ended 31 March 2025,but is derived from those financial statements.The consolidated financial statements have been prepared in accordance with the same accounting policies adopted in the 2024 annual financial s
31、tatements,except for the changes in accounting policies set out in note 2.The consolidated financial statements have been prepared on the historical cost basis at the end of each reporting period,as modified by the financial assets at fair value through profit or loss,which are carried at their fair
32、 values.The consolidated financial statements have been prepared in accordance with HKFRS Accounting Standards issued by the HKICPA.For the purpose of preparation of the consolidated financial statements,information is considered material if such information is reasonably expected to influence decis
33、ions made by primary users.In addition,the consolidated financial statements include the applicable disclosures required by the Rules Governing the Listing of Securities on the Stock Exchange of Hong Kong Limited(the“Listing Rules”)and by the Hong Kong Companies Ordinance.7 4.OPERATING SEGMENT INFOR
34、MATIONFor management purposes,the Group is organised into business units based on their products and services and has three reportable operating segments as follows:(a)the cleaning and related services segment engages in the provision of cleaning and related services for office buildings,public area
35、s and residential areas;(b)the advertising media business segment engages in the provision of media strategy,planning and management,product launching and selling,brand building,event marketing as well as developing and operating advertising media;and(c)the waste treatment business segment engages i
36、n the provision of organic waste treatment and sale of byproducts produced.Management monitors the results of the Groups operating segments separately for the purpose of making decisions about resources allocation and performance assessment.Segment performance is evaluated based on reportable segmen
37、t result,which is a measure of adjusted loss before income tax.The adjusted loss before income tax is measured consistently with the Groups loss before income tax except that interest income,government subsidies,dividend income and gain or loss on fair value changes on financial assets at fair value
38、 through profit or loss,share option expenses,finance costs and unallocated head office and corporate expenses are excluded from such measurement.Segment liabilities exclude loans from directors as these liabilities are managed on a group basis.There are no inter-segment revenue and transfers betwee
